Fresia Terms of Service

These terms are a binding agreement between you and Cupsa Technologies Inc., a Canadian corporation that operates Fresia ("Fresia", "we", "us"). You can reach us at swerikcode@gmail.com. By creating an account or using Fresia, you accept them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.


The short version

This is a summary for orientation. The full terms below govern.

  • Fresia gives you a team of AI agents that do marketing and growth work and can act on accounts you connect.
  • Anything outbound, anything that spends money, and anything irreversible waits for your approval first.
  • You are responsible for what goes out under your name, including compliance with email and platform rules.
  • AI output can be wrong. Check it before you rely on it.
  • Your content stays yours.

1. What Fresia does

Fresia is a hosted service in which an orchestrating agent and a set of specialist agents carry out marketing and growth tasks you assign. You watch them work, you connect the accounts they should use, and you approve the actions that matter.

We may change, add, or remove features. If we remove something you depend on, or make a change that materially reduces the service, we will give you reasonable notice.


2. Your account

You must be at least 16 and able to form a binding contract. Provide accurate registration information and keep it current.

You are responsible for your account credentials and for everything that happens under your account. Tell us promptly at swerikcode@gmail.com if you suspect unauthorized access.


3. Automated actions, and what you are agreeing to

This section is the most important one in these terms. Read it.

You are instructing software to act on your behalf. When you connect an account and set a goal, Fresia's agents may read from that account and, subject to the controls below, take actions on it: sending an email from your mailbox, publishing a post, opening a pull request, changing a listing, or spending money on advertising.

The approval gate. By default, any action that sends something outward, spends money, or cannot be undone is held and shown to you before it happens. You see the actual contents and decide.

Permissions you can change. You may allow certain categories of action to proceed without asking you. Actions classified as spending money or as irreversible cannot be set to run unattended. That limit is enforced by the system and you cannot switch it off.

Work that runs while you are away. If you turn on overnight or scheduled work, your agents run without you watching. Anything outbound they prepare during that work is never sent. It is held as a draft, and it goes out only if you later read it and approve it.

Sending email. Email your agents send goes from your own connected mailbox, in your name. Before the first real send, the workspace owner accepts the sending terms shown in the product, which restate your responsibilities in this section. Fresia limits each workspace to 20 real sends a day.

You remain responsible for the output. An action you approve, or that runs under a permission level you chose, is your action. As between you and us, you are responsible for it and for its consequences. This includes:

  • compliance with laws governing commercial email and messaging, including CAN-SPAM, CASL, the GDPR and ePrivacy rules on marketing, and any local equivalent,
  • compliance with the terms of every platform you connect, including their rules on automation, bulk messaging, and scraping,
  • having a lawful basis and any required consent to contact the people your agents contact,
  • the accuracy and legality of any claim your agents publish about your product,
  • any disclosure required where content is AI generated.

We do not review your agents' output before it is sent. The approval gate exists so that you do.


4. Connected accounts

You may connect third party accounts. You confirm you own them or have authority to connect them, and that doing so does not breach your agreement with that provider.

Those accounts remain governed by their own terms. If a provider suspends or restricts your account because of activity you initiated through Fresia, that is between you and them.

You can disconnect any account at any time. Doing so stops future access but does not undo actions already taken.


5. Acceptable use

Do not use Fresia to:

  • send unsolicited bulk email or messages, or contact anyone who has opted out,
  • impersonate any person or organization, or misrepresent your affiliation,
  • publish content that is unlawful, defamatory, infringing, deceptive, or that violates someone's privacy,
  • generate fake reviews, fake testimonials, or fabricated endorsements,
  • circumvent the rate limits, automation rules, or technical protections of any platform,
  • attempt to bypass Fresia's approval gate or permission limits,
  • reverse engineer the service, resell it, or use it to build a competing product,
  • upload malware, or probe our systems without written authorization.

We may suspend accounts that breach this section, immediately where the breach is serious or ongoing.


6. AI output

Fresia's output is generated by AI models. It can be inaccurate, incomplete, out of date, or confidently wrong. It is not professional advice of any kind, and specifically not legal, financial, tax, or medical advice.

Review output before you publish it, send it, or act on it. You are solely responsible for deciding whether it is fit for your purpose.

Different users may receive similar output for similar requests. We make no claim that output is unique to you.


7. Your content and ours

Yours stays yours. You keep all rights to the content you provide and to the work product your agents generate for you.

You grant us a worldwide, non exclusive, royalty free licence to host, copy, transmit, and process that content strictly to operate and support the service, including passing it to the subprocessors listed in our Privacy Policy. This licence ends when the content is deleted, except for copies retained in backups until they expire.

We do not use your content to train AI models, and we do not permit our AI provider to use it for training under its commercial terms.

Ours stays ours. Fresia, its software, design, and branding are our property. These terms grant you a right to use the service, not to own any part of it.

If you send us feedback, we may use it without obligation to you.


8. Plans, fees, and usage

The plan. Fresia has one paid plan, Pro, at US$99 per month, billed monthly in advance. There is no free plan.

The trial. A new workspace starts with a 7 day trial. You add a card to start it, and the first charge happens when the trial ends unless you cancel before then. The trial includes 500 credits.

Credits. Work that costs us money to run (AI model usage and the data and media providers your agents call) is metered in credits, where one credit is one US cent of that cost. Pro includes 1,500 credits each calendar month, measured in UTC. Unused credits do not roll over. There is no overage billing: when a month's credits run out, paid work waits until the next month, and nothing extra is charged. The product shows your balance at all times.

Taxes. Prices do not include sales tax. Where we are required to collect it, it is added at checkout based on your billing address and shown before you pay.

Payment. Payments are processed by Stripe. We do not see or store your card number. You can cancel at any time from the billing portal inside the app, and cancellation takes effect at the end of the period you have paid for.

Refunds. Fees are not refundable. The trial exists so you can decide before you pay, and you can cancel at any time to stop the next charge. This does not limit any refund right the law gives you that cannot be waived.

Payment trouble. If a payment fails, Stripe retries it and your plan stays active during the retries. If the subscription becomes unpaid, is canceled, or is paused, paid work stops until it is active again.

Price changes. We may change the price. We will tell you at least 30 days before a new price applies to you, and you can cancel before it does.


9. Availability

We aim to keep Fresia running but do not promise uninterrupted service. We may take it down for maintenance, and background runs may be delayed by our infrastructure providers.

We give no service level commitment unless we agree one with you in writing.


10. Disclaimer of warranties

To the fullest extent permitted by law, Fresia is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, non infringement, or accuracy.

We do not warrant that the service will be error free, that output will be correct, or that actions taken through connected accounts will achieve any particular result.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.


11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunity, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these terms or the service is limited to the greater of the fees you paid us in the three months before the event giving rise to the claim, or US$50.

You use connected accounts, and approve the actions your agents take on them, at your own risk. We are not liable for what a third party platform does to your account, for email or content you approved, or for decisions you make based on AI output.

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.


12. Indemnity

You will defend and indemnify us against any third party claim arising from your content, your use of the service, the actions your agents take on your connected accounts, or your breach of these terms or of any law or platform rule. We will notify you of the claim and let you control the defence, provided any settlement releases us fully.


13. Suspension and termination

You may stop using Fresia and close your account at any time, from inside the app and without asking us. Open Setup, choose Delete everything, and type your workspace name to confirm. Only the workspace owner can do this. It stops any work still running, cancels your subscription immediately, disconnects every account you had connected, removes your stored files, and then permanently deletes your workspace and everything in it. If one of those steps cannot be completed, nothing is deleted yet, the screen tells you which step failed, and you can try again. Once it completes it is not reversible and there is no grace period. Section 6 of the Privacy Policy describes exactly what is removed and what is kept.

We may suspend or terminate your access if you materially breach these terms, if your use creates legal or security risk for us or others, or if we are required to by law. Where circumstances allow, we will warn you first and give you a chance to fix the problem.

On termination by us, your right to use the service ends. We will make your data available for export for 30 days before deleting it, subject to the Privacy Policy.

Sections that by their nature should survive termination will survive it, including sections 7, 10, 11, 12, and 15.


14. Changes to these terms

We may update these terms. We will post the new version with a new date and, for material changes, notify you at least 30 days before they take effect. Continuing to use Fresia after that means you accept them. If you do not, stop using the service and close your account.


15. Governing law and disputes

These terms are governed by the laws of the Province of Ontario, where we operate, and the federal laws of Canada that apply there, without regard to conflict of law rules. The courts of Ontario have exclusive jurisdiction, except that either party may seek injunctive relief anywhere. If you are a consumer, this does not take away any protection the law of your own country gives you that cannot be waived.

If any provision is unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in a merger or sale of the business.

These terms and the Privacy Policy are the entire agreement between us about the service.
